Terms and Conditions

These Terms and Conditions (“Terms”) govern your relationship with Momentum Corporate Services Provider LLC (“Momentum”, “Company”, “we”, “us”, or “our”), a corporate services provider incorporated in the United Arab Emirates.

By accessing our website or engaging our services, you (“Client”, “you”, or “your”) agree to be legally bound by these Terms.

1. Interpretation and Definitions

1.1 Interpretation

Words with capitalized initial letters have meanings defined under the following conditions. These definitions shall apply regardless of whether they appear in singular or plural form.

1.2 Definitions

Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

Country refers to the United Arab Emirates.

Company refers to Momentum Corporate Services Provider LLC and its Affiliates, associates, and related parties.

Device means any device capable of accessing the Website or Services, including computers, mobile phones, or tablets.

Services refer to corporate services including but not limited to company formation, trade license processing, PRO services, visa processing, accounting, VAT registration, tax advisory, compliance support, and related consultancy services.

Website refers to Momentum’s official website.

You / Client means the individual, shareholder, director, or legal entity engaging with our Services.

2. Scope of Services and Engagement

2.1 Service Confirmation

The nature, scope, pricing, and timelines of Services shall be confirmed through proposals, quotations, pro forma invoices, or signed agreements.

2.2 Third-Party Interaction

Our Services may require interaction with:

  • UAE Government Authorities
  • Free Zone Authorities
  • Banks and Financial Institutions
  • Notaries and Legal Authorities
  • Immigration Authorities
  • Other third-party providers

     

Momentum acts as a facilitator and consultant. Final approvals, timelines, and decisions remain at the discretion of the relevant authorities or third parties.

2.3 Third-Party Payments

We may process payments to government authorities or third parties on your behalf. Such payments do not grant us control over the outcome of applications or approvals.

3. KYC, AML & Client Onboarding

Momentum is obligated to comply with applicable UAE Anti-Money Laundering (AML) and Counter-Terrorist Financing (CFT) laws.

3.1 Required Documents

You agree to provide complete and accurate KYC documentation, including but not limited to:

  • Passport copies
  • Emirates ID (if applicable)
  • Proof of address
  • Corporate documents
  • Beneficial ownership information
  • Source of funds declaration

3.2 Right to Refuse Service

Momentum reserves the absolute right to:

  • Reject any client application
  • Terminate an engagement
  • Refuse to proceed with a transaction

     

If:

  • Required documents are not provided
  • Documents are false, incomplete, or misleading
  • Due diligence cannot be satisfactorily completed
  • There is suspicion of illegal activity

     

Engagement may breach UAE regulations

4. Our Rights and Responsibilities

4.1 Professional Standard

We commit to delivering services with reasonable care, diligence, and professionalism in accordance with UAE laws and industry standards.

4.2 Limitation of Liability

To the maximum extent permitted by law:

  • Momentum shall not be liable for indirect, incidental, special, or consequential losses including loss of profit, business, goodwill, or reputation.
  • Our total liability shall not exceed the professional fees paid directly to us for the specific service giving rise to the claim.

     

We are not liable for:

  • Government policy changes
  • Delays by authorities
  • Third-party rejections
  • Regulatory amendments

     

4.3 Regulatory Changes

If government authorities revise fees, policies, or timelines after signing the agreement, such changes shall apply to the Client and may require additional payments.

5. Client Responsibilities

You agree to:

  • Comply with all UAE laws and regulations
  • Provide accurate and complete documentation
  • Make timely payments
  • Not use our Services for unlawful activities

     

Delays caused by incomplete documentation or non-payment may result in service suspension.

6. Payment Terms

6.1 Advance Payment

All services require advance payment unless otherwise agreed in writing.

6.2 Fees

All fees are expressed in AED unless otherwise stated. Government fees, authority charges, and third-party costs are separate from our professional fees.

6.3 Invoicing

Invoices must be paid within the timeframe stated. Disputes must be raised in writing within 3 business days.

6.4 Adjustments

Fees may be adjusted if:

  • Scope of work changes
  • Government fees increase

Client delays cause additional administrative work.

7. Deferred Payment Policy

Deferred payments may be approved at Momentum’s sole discretion.

  • Requests must be submitted in writing before the due date.
  • Approved deferrals may attract administrative charges.
  • Repeated delays may result in suspension of services.

Momentum reserves the right to refuse future deferral requests.

8. Cancellation & Refund Policy

8.1 Cancellation by Momentum

Failure to pay outstanding amounts may result in suspension or termination of services.

8.2 Cancellation by Client

Cancellation requests must be made in writing.

If Services have commenced:

  • Professional fees are non-refundable.

Government fees and third-party charges are non-refundable.

8.3 Refund Conditions

Refunds (if applicable) will:

  • Exclude government fees
  • Exclude third-party charges
  • Exclude administrative costs

     

If no separate service fee is defined, Momentum reserves the right to retain 15% of the total invoice amount or AED 1,050 (whichever is higher) as administrative charges.

8.4 Forfeiture

If the Client fails to proceed within two (2) months of payment, the amount paid may be forfeited and deemed non-refundable unless otherwise agreed in writing.

9. Exit Policy

9.1 NOC for Direct Dealing

If the Client requests a No Objection Certificate (NOC) to deal directly with licensing authorities, an administrative fee may apply.

9.2 Outstanding Payments

All pending payments must be cleared before cancellation or transfer of services.

10. Force Majeure

Neither party shall be liable for delays or failure caused by events beyond reasonable control, including:

  • Government restrictions
  • Natural disasters
  • War or terrorism
  • Public health emergencies
  • Internet or system failures

Obligations shall resume once conditions normalize.

11. Website Terms of Use

11.1 Informational Purpose

Content on our Website is for general information only and does not constitute legal or financial advice.

11.2 Intellectual Property

All website content, logos, graphics, and materials are owned by Momentum and protected by applicable intellectual property laws.

You may not:

  • Republish content for commercial purposes
  • Modify proprietary material
  • Use content unlawfully

11.3 Data Protection

We process personal data in accordance with UAE Federal Decree Law No. 45 of 2021 on the Protection of Personal Data.

By using our Website or Services, you consent to the collection and processing of your data for service delivery and legal compliance.

11.4 Cookies

Our Website uses cookies to improve user experience and analytics. You may manage cookie preferences via browser settings.

11.5 Suspension

We reserve the right to suspend website access for misuse or breach of these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the UAE.

13. Dispute Resolution

In the event of a dispute:

  1. The Client must notify Momentum in writing.
  2. Both parties shall attempt resolution in good faith within 14 days.
  3. If unresolved, the matter shall proceed under UAE jurisdiction.

Momentum reserves the right to seek injunctive relief to protect intellectual property or confidential information.

14. Amendments

Momentum reserves the right to modify or update these Terms at any time.

Continued use of the Website or Services constitutes acceptance of the revised Terms.

One such leader is Robin Philip, Founder and Group CEO of A&A Associate LLC. Robin began his career in the finance sector, working at a prestigious bank in India, where he discovered a passion for assisting individuals with their banking needs. Driven by a desire to support entrepreneurs and startups, as well as share his wealth of knowledge and experiences, Robin founded A&A Associate.

Initially, the focus of A&A Associate was on providing accounting and auditing services to companies in the UAE, addressing the increasing demand for such specialized services. Over time, under Robin’s leadership, the company evolved its services to encompass comprehensive business formation solutions in the UAE. This expansion covered a spectrum from licensing to liquidation services, reflecting Robin’s commitment to helping individuals worldwide realize their aspirations of establishing successful businesses in the UAE.

ROHAN MALHOTRA
Founder / Chief Executive Officer

Rohan Malhotra is the Founder and CEO of Momentum Consultancy and the brain behind setting up a new age concept agency. Rohan comes with over 20 years of experience of working across countries both in the private and public sector.

Rohan started his career in the banking and financial services industry working across departments with some of the finest institutions like the Commonwealth Bank of Australia, ANZ, National Australia Bank and Commercial Bank of Dubai.

Prior to starting Momentum Consultancy, Rohan worked as a Trade and Investment Director with the Australian Federal Government, where he was responsible for attracting and facilitating foreign direct investment in the fintech, energy, mining and sectors between the UAE/GCC and Australia. With vast experience set across businesses and regions, he has helped multiple businesses scale in the region and across continents.

Rohan holds a Master of Business Administration from La Trobe University (Melbourne, Australia) majoring in Management Fundamentals, Marketing and Finance. Born and brought up in a business family, Rohan attained his schooling in Mumbai and Bachelor Degree in Business Management from Mumbai University (India) and he is well connected in the business and showbiz industry.

Together with his wife Francesca Bouwman, they have set up and successfully own other consultancy agencies and are actively involved in managing and running an NGO/boarding home in India. Under the name of Sneha Sadana, the project provides food, shelter, clothing and education to 86 under privileged and orphaned girls.
