Please read these Terms and Conditions carefully before using our services or website.

Interpretation and Definitions

Interpretation

Words with capitalised initial letters have specific meanings as defined below. These definitions apply equally whether they appear in singular or plural form.

Definitions

  • Affiliate means any entity that controls, is controlled by, or is under common control with a party.
  • Country refers to the United Arab Emirates.
  • Company (referred to as “the Company”, “we”, “us”, or “our”) refers to Momentum Corporate Services Provider LLC and its affiliates, associates, and related parties, operating in the United Arab Emirates.
  • Device means any device used to access the service, including computers, mobile phones, and digital tablets.
  • Service refers to the website and all business setup services provided by Momentum Corporate Services Provider LLC.
  • Terms and Conditions (also referred to as “Terms”) means this document, which constitutes the entire agreement between you and the Company regarding use of the Service.
  • Third-Party Social Media Service means any services or content provided by a third party that may be displayed or made available through the Service.
  • Website refers to Momentum Corporate Services Provider LLC, accessible at www.momentumsetup.ae.
  • You means the individual or legal entity accessing or using the Service.

These Terms govern your relationship with Momentum Corporate Services Provider LLC (“Company”, “we”, or “us”), a UAE-based business setup consultancy. By engaging with us, you (“Client”) agree to comply with and be bound by the following terms, as applicable to any services availed.

1. Scope of Services and Engagement

1.1 General Services

Momentum Corporate Services Provider LLC offers facilitation and consultancy services tailored to your business needs. The nature, scope, and timeline of services will be confirmed through formal proposals, pro forma invoices, or written agreements. Where applicable, these services may involve dealings with third-party providers or government entities.

Our services also extend to estate planning facilitation. We are not a law firm and do not provide legal advice. Estate planning services are offered in a consultancy capacity only and may involve referral to, or coordination with, licensed legal professionals where required.

1.2 Third-Party Payment Handling

We may process payments to government bodies, legal authorities, banks, or other third parties on your behalf as part of the service process. All such payments are made in accordance with the requirements of the subscribed service and do not imply our control over final decisions made by those third parties.

2. Our Rights and Responsibilities

2.1 Professional Conduct

We are committed to delivering services with reasonable care, diligence, and professionalism, in accordance with prevailing industry standards and applicable UAE laws.

2.2 Limitation of Liability

We shall not be held liable for any indirect, incidental, or consequential loss arising during service delivery, including but not limited to loss of business, profit, revenue, or reputation. Our liability is limited to the fees paid directly to us for the specific service in question and excludes matters beyond our control, such as third-party decisions or government delays.

2.3 Information Accuracy

We ensure that clients receive clear and current information at the time of signing, including procedural requirements and anticipated timelines. However, we do not control external regulatory changes that may subsequently impact these.

2.4 Third-Party Changes

Any changes in fees, policies, or timelines imposed by third-party providers or government authorities after the agreement is signed will be communicated to the client promptly.

2.5 Exemption from Liability for Third-Party Changes

We are not liable for changes imposed by third-party providers or government authorities following the signing of any agreement with the client. Such changes may include alterations to costs, timelines, or specific service requirements that are beyond our reasonable control.

2.6 KYC Documents and Client Onboarding

As part of the onboarding process, we require you to provide information, documents, and materials (“KYC Documents”) necessary for Momentum Corporate Services Provider LLC to fulfil its AML/CFT obligations. These may include, but are not limited to:

  • Proof of identity (e.g. passport, national ID)
  • Proof of address (e.g. utility bill, bank statement)
  • Corporate registration documents
  • Beneficial ownership information
  • Source of funds or wealth declarations
  • Any other information required to conduct thorough due diligence

Momentum Corporate Services Provider LLC reserves the absolute right, at its sole discretion, to reject any client application, terminate existing relationships, or refuse to proceed with any transaction at any stage if:

  • The Client fails to provide the required KYC Documents.
  • Documents provided are found to be incomplete, inaccurate, false, misleading, or fraudulent.
  • Momentum Corporate Services Provider LLC is unable to satisfactorily complete its due diligence procedures.
  • The Client or any related party presents an unacceptable AML/CFT risk.
  • Momentum Corporate Services Provider LLC suspects the Client’s activities are related to money laundering, terrorist financing, or any other unlawful activity.
  • Accepting the Client would result in a breach of applicable AML/CFT laws, regulations, or internal policies.
  • Any other reason that, in Momentum Corporate Services Provider LLC’s reasonable judgement, warrants rejection consistent with its risk-based compliance approach.

3. Client's Rights and Responsibilities

3.1 Compliance

Clients are expected to act in compliance with UAE laws and regulations and must not engage in any unlawful, unethical, or unauthorised activity while using our services.

3.2 Use of Services

Services provided by Momentum Corporate Services Provider LLC are for the client’s use only and are non-transferable unless explicitly authorised by us in writing.

3.3 Payment and Documentation

Clients are responsible for providing accurate documents and making timely payments as outlined in agreed invoices or payment schedules. Delays in submitting documentation or payments may result in service delays.

3.4 Third-Party Terms

Where third-party service providers are involved, clients must adhere to their specific terms and policies. Momentum Corporate Services Provider LLC shall not be responsible for any failure or refusal by a third party to deliver services.

3.5 Right to Information and Indemnification

The Client has the right to receive current and accurate information about subscribed services. The client undertakes to indemnify Momentum Corporate Services Provider LLC against any losses or damages arising from changes in terms, conditions, or other aspects of services after the agreement is signed or payment is made. This indemnification covers alterations due to external factors beyond our control.

4. Payment Terms

4.1 Advance Payment

All services provided by Momentum Corporate Services Provider LLC require advance payment unless otherwise agreed in writing. This ensures the timely allocation of resources and commencement of service delivery.

4.2 Fee Structure

Fees for services shall be as outlined in the signed service agreement, proposal, or pro forma invoice. All fees are expressed in UAE Dirhams unless stated otherwise.

4.3 Invoicing and Disputes

Invoices must be settled within the stated payment terms. Any disputes must be raised in writing immediately. During any dispute process, all undisputed amounts remain payable.

4.4 Adjustments

Fee adjustments may occur where there are changes in the scope of work, client delays, or unforeseen government or authority-related modifications. Any such adjustments will be communicated in advance.

4.5 Third-Party Fees

The client is responsible for all third-party charges, including government fees, attestation costs, and bank charges. Momentum Corporate Services Provider LLC may pay these on the client’s behalf, but they will be invoiced separately.

5. Deferred Payment Policy

5.1 Eligibility for Deferral

Deferred payments may be granted under specific conditions and at the discretion of Momentum Corporate Services Provider LLC, in accordance with the rules of the relevant free zones and/or licensing authorities. This may include post-dated cheques or other forms of guarantee approved in writing.

5.2 Deferral Request Timeline

A deferral request may be submitted for up to fifteen (15) days from the due date without penalty. Beyond this period, a deferral fee of 10% of the outstanding amount will be charged monthly.

5.3 Deferral Limitations and Penalties

Clients may defer a maximum of two (2) payments within any 12-month cycle. Repeated delays or dishonoured cheques may result in service suspension and additional charges, including a returned cheque fee of AED 300 to AED 500 depending on the amount.

5.4 Submission Process

All deferral requests must be submitted in writing at least seven (7) business days before the payment due date to the Momentum Corporate Services Provider LLC accounts team at the contact details provided on our website.

6. Refund Eligibility

Refund requests may be considered within a 5-day window following payment, provided the requested service has not commenced and no government submissions, third-party engagements, or substantial work have been undertaken. Each refund request will be reviewed on a case-by-case basis.

Case by Case

6.1 Circumstances Where Refunds Will Not Be Granted

Refunds will not be approved in the following situations:

  • You change your mind after purchasing a service.
  • You no longer require the service.
  • The service no longer suits your business or personal objectives.
  • Delays occur because the client failed to provide necessary information, documents, or approvals.
  • An application, registration, visa, license, permit, bank account, or approval is rejected, delayed, or declined by a government authority, regulator, financial institution, or third party.
  • External laws, regulations, policies, or authority requirements change after engagement.
  • Services have already commenced or have been substantially performed.

6.2 Refund Processing

Approved refunds will be processed using the original payment method where possible. Processing times may vary depending on banks, payment providers, and relevant authorities.

6.3 Forfeiture

If you fail to fulfil obligations or proceed with agreed services within two (2) months from the date of initial or full payment, Momentum Corporate Services Provider LLC shall forfeit the payment, which will be non-refundable. Upon forfeiture, Momentum Corporate Services Provider LLC has no further obligation to provide services. Reinstatement will require a new agreement and fresh payment terms, subject to our discretion. This clause does not apply in cases of force majeure, provided you notify us in writing before the deadline.

7. Exit Policy

7.1 Licence Cancellation or Transfer

If a client wishes to obtain a No Objection Certificate (NOC) to deal directly with the licensing authorities or with another service provider, a fee of AED 8,400 will apply.

7.2 Termination of Service Obligations

File transfers to authorities will end all further obligations of Momentum Corporate Services Provider LLC. Future dealings will be handled directly by the relevant authority.

7.3 Document Return Requirement

Clients must return all original documents issued as part of the company setup. Lost or damaged documents may require a police report.

7.4 Payment of Pending Instalments

Any pending installments must be fully paid before a license can be cancelled. Late cancellations beyond the license expiry date will incur additional penalties

8. Force Majeure

Neither party shall be liable for any delay or failure in performance of its obligations under this Agreement where such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government orders, labour strikes, or interruption of internet services (“Force Majeure Event”). Obligations shall resume as soon as practicable after the Force Majeure Event concludes.

9. General Terms

9.1 Notice and Communication

All notices must be delivered in writing to the official email or physical address provided by both parties.

9.2 Entire Agreement

These Terms constitute the entire agreement between the client and Momentum Corporate Services Provider LLC and supersede all prior understandings, whether written or verbal.

9.3 Assignment

Clients may not assign or transfer their rights or obligations without our prior written consent.

10. Website Terms of Use

10.1 Acceptance of Terms

By accessing and using the Momentum Corporate Services Provider LLC website (“Site”), you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Site.

By accessing or using our services, including browsing the website, submitting information, or making any payment, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, as may be amended from time to time at our sole discretion. Your continued use of the services following any updates constitutes acceptance of the revised Terms.

10.2 Website Access and Use

10.3 Privacy and Data Protection

10.5 Website Modifications

If these Terms are translated into another language, the English version shall prevail in all cases.

10.13 Sanctions Compliance

You confirm that you are not subject to any applicable sanctions and are not listed as a prohibited or restricted party under any relevant regulatory framework.

10.14 Severability and Waiver

If any provision of these Terms is found to be unenforceable, it shall be modified to reflect the original intent, and the remaining provisions shall continue in full effect. A failure to enforce any right under these Terms does not constitute a waiver of that right.

10.15 Effective Date and Updates

These Terms are effective as of 1 January 2025 and were last updated on 23 June 2026. Momentum Corporate Services Provider LLC reserves the right to modify, amend, or update these Terms at any time. Changes become effective immediately upon posting to the website. It is the user’s responsibility to review these Terms periodically. Continued use of the website or services after any modifications constitutes acceptance of the updated Terms.

10.16 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the website or services at any time, with or without prior notice, including the availability of any features, content, or functionality.

11. Estimated Timelines

The following timelines are provided as general guidance and are subject to the requirements of the relevant authorities. Actual timelines may vary.

Company Formation

  • Obtaining the license: 5 to 7 working days
  • Obtaining the Establishment Card and E-Channel: 4 working days (after license issuance)

New Visa

  • Issuance of Entry Permit: 3 to 4 working days
  • Change of Status: 1 to 2 working days (applicable for in-country visa applications only)
  • Medical: 3 to 4 working days
  • Biometrics: 3 to 4 working days, subject to ICP discretion
  • Visa Stamping: 2 to 3 working days
  • Emirates ID Delivery: 3 to 4 working days

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising in relation to the Site or our services shall fall under the exclusive jurisdiction of the courts in the UAE.

13. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the use of the website, or the provision of services by Momentum Corporate Services Provider LLC, you agree to first contact us to attempt to resolve the matter informally. You may initiate this process by sending written notice describing the nature of the dispute and the relief sought to:

Both parties shall use good-faith efforts to resolve the dispute through direct discussion within fourteen (14) days of receiving such notice.

Notwithstanding the above, Momentum Corporate Services Provider LLC reserves the right to seek immediate injunctive or equitable relief from any court of competent jurisdiction to prevent or address unauthorized use, misuse, or infringement of its intellectual property or confidential information.

Rohan Malhotra is the Founder and CEO of Momentum Consultancy and the brain behind setting up a new age concept agency. Rohan comes with over 20 years of experience of working across countries both in the private and public sector.

Rohan started his career in the banking and financial services industry working across departments with some of the finest institutions like the Commonwealth Bank of Australia, ANZ, National Australia Bank and Commercial Bank of Dubai.

Prior to starting Momentum Consultancy, Rohan worked as a Trade and Investment Director with the Australian Federal Government, where he was responsible for attracting and facilitating foreign direct investment in the fintech, energy, mining and sectors between the UAE/GCC and Australia. With vast experience set across businesses and regions, he has helped multiple businesses scale in the region and across continents.

Rohan holds a Master of Business Administration from La Trobe University (Melbourne, Australia) majoring in Management Fundamentals, Marketing and Finance. Born and brought up in a business family, Rohan attained his schooling in Mumbai and Bachelor Degree in Business Management from Mumbai University (India) and he is well connected in the business and showbiz industry.

Together with his wife Francesca Bouwman, they have set up and successfully own other consultancy agencies and are actively involved in managing and running an NGO/boarding home in India. Under the name of Sneha Sadana, the project provides food, shelter, clothing and education to 86 under privileged and orphaned girls.
