UAE foundation requirements include a founder, a council, a registered office, a charter and an initial asset of at least USD 100. Government fees start from around USD 2,000, and most foundations are registered within 2 to 4 weeks.


A foundation gives you a separate legal entity to hold property, company shares and investments. It also lets you pass those assets to your family without going through probate.


The rules differ by jurisdiction as DIFC, ADGM and RAK ICC each set their own council size, guardian rules and fees.

Who Can Set Up a Foundation in the UAE?

Anyone aged 21 or over with valid identification can set up a foundation in the UAE. You can be an Emirati, a resident expat or a non-resident investor, since UAE residency is not a requirement.


The founder can also be a company rather than an individual. This lets you place an existing holding company or family business at the top of the structure.


Most founders use this structure for
family foundation setup, holding property and shares for their children and passing them on without probate. Others use it for charitable giving or to hold business interests.


These are the main roles for a foundation:

  • Founder: Creates the foundation and contributes its initial assets. You can be the sole founder or set it up jointly with others.

  • Council members: Manage the foundation’s assets and run it in line with the charter. DIFC and RAK ICC need at least two members, while ADGM needs only one, and the founder can sit on the council.

  • Guardian: Oversees the council and makes sure it follows your wishes. ADGM requires a guardian by default, while DIFC and RAK ICC only require one for charitable or specified non-charitable objects. A guardian cannot also sit on the council.

  • Beneficiaries: The people or causes that benefit from the foundation’s assets. These can be family members, charities or both.

  • Authorized signatory: Signs on the foundation’s behalf. DIFC requires you to appoint one.

  • Registered agent: Handles filings with the registrar. It is mandatory in RAK ICC, and most founders appoint one in DIFC and ADGM as well.


You also need a registered office. DIFC and ADGM foundations must have an address inside their free zone, while RAK ICC accepts a registered address anywhere in the UAE.

How Much Does it Cost to Set Up a UAE Foundation?

Government fees to set up a UAE foundation start at AED 1,305 in DIFC, AED 2,250 in RAK ICC and AED 3,672.50 in ADGM.

  • DIFC foundation cost: The DIFC Registrar charges an initial application fee of USD 2,000 (AED 7,346) to incorporate a foundation, along with an annual commercial license fee (starting from USD 1,000 per year) and standard data protection fees.

  • ADGM foundation cost: Setting up in ADGM typically costs between USD 1,600 and USD 1,900 (AED 5,875 – AED 6,980) in total government fees. This covers the initial registration application, commercial license, name reservation, and data protection fees. Annual renewals average around USD 600 per year.

  • RAK ICC foundation cost: A RAK ICC foundation is the most cost-effective entry option, with government registration and license fees starting at AED 3,250 (USD 885) for the first year. Annual maintenance and license renewals start at approximately AED 2,250 (USD 613) per year.

Apart from government fees, these are the main costs for a UAE foundation: 

  • Legal drafting: Your charter and by-laws need to reflect your family, assets and succession wishes, so most founders use professional drafting.

  • Registered agent and office: Annual fees for your registered agent and a registered office address inside the jurisdiction.

  • Bank account: Opening an account in the foundation’s name, which comes with its own onboarding requirements.

  • Asset transfers: Moving property into the foundation requires paying fees to the Dubai Land Department. Transfers from a founder may qualify for a reduced gifting rate, at the DLD’s discretion.

  • Tax compliance: Registering with the Federal Tax Authority and managing your UAE foundation corporate tax position, including any application for fiscally transparent status.

What are the Documents Required for a UAE Foundation?

To register a UAE foundation, you need a signed charter, by-laws and identification documents for everyone involved. The registrar also asks for details of your registered office, registered agent and initial assets.

  • Foundation charter: Sets out the foundation’s name, objects, initial assets and council provisions. It is mandatory in every jurisdiction and filed with the registrar.

  • By-laws: Cover the internal rules, such as how the council makes decisions and how assets are distributed. By-laws stay private and are not published on the public register.

  • Application form: Signed by the founder and submitted to the registrar with the charter and by-laws.

In DIFC, by-laws are optional but strongly recommended. You also need to name an authorized signatory and disclose every financial contributor.


In RAK ICC, your charter must be written in English and name a designee to receive any leftover property if the foundation ends. Your charter and by-laws must also state whether DIFC Courts or ADGM Courts govern the foundation.


For the founder, each council member, the guardian and, in most cases, the beneficiaries, you need to provide:

  • Passport copy
  • UAE residence visa and Emirates ID, if you live in the UAE
  • Recent proof of residential address, such as a utility bill or bank statement
  • CV or professional profile
  • Source of funds and source of wealth declaration
  • Contact details, including email and phone number


If a company acts as founder or council member, you also need to submit its corporate records:

  • Certificate of incorporation
  • Memorandum and articles of association
  • Certificate of good standing
  • Board resolution approving the company’s role in the foundation
  • Register of directors, shareholders and ultimate beneficial owners


Documents issued outside the UAE may need to be notarized or certified before submission. Your registered agent will confirm exactly what each registrar accepts.


Once the registrar approves your application, you receive a certificate of registration and a license. You need both to open a bank account and transfer assets into the foundation.

How Long Does it Take to Register a UAE Foundation?

It usually takes 2 to 4 weeks to register a UAE foundation once your documents are complete. RAK ICC is often the fastest, DIFC takes around 2 to 3 weeks, and ADGM only starts its review once your payment clears.
